All intellectual property rights in the Service (including software code, UI/UX, and algorithms) are owned exclusively by verun.app and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. You may not reverse-engineer, copy, or resell the Service.

6. USER CONTENT

You retain all rights to the ad copy, images, videos, and data you upload into verun.app ("User Content"). You warrant that your User Content does not infringe on any third-party intellectual property rights and is not illegal, fraudulent, or malicious

7. DISCLAIMER OF WARRANTIES ("AS IS")

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERUN.APP EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VERUN.APP, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY, INCLUDING AD PLATFORMS; OR (C) UNAUTHORIZED ACCESS TO YOUR DATA. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless verun.app, its affiliates, and its powered-by partners (e.g., Webcoupers) from any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) your violation of any third-party ad platform's policies.

10. FORCE MAJEURE

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, internet backbone outages, server failures, cyberattacks, or sudden API deprecations by third-party platforms (e.g., Google or Meta).

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively through binding arbitration in Lagos, Nigeria, in accordance with the Nigerian Arbitration and Mediation Act, 2023.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or by updating the date at the top of this page. Continued use of the Service constitutes your acceptance of the updated Terms.
